because he has all the proxy votes. the only way he would be removed would be by a hostel take-over and the way to prevent that would be to trash whatever is left of the company, make the stock worthless ( i mean more worthless than it is now)

I would be curious to know how many corporate responsibility metric type funds have stakes in the company.
It is entirely possible this action is endorsed by large shareholders who see this as a temporary hit to achieve longer term corporate sustainability, social welfare, and profit goals.
