My question is why does a "Roll up" Corporation of that size and scope need or desire to sell an otherwise profitable operation?

Component prices are coming down and availability is increasing and conversely so is the availability of Loaded Ammunition, sadly Prices are only slightly reflective of supply increases...demand hasn't decreased.

Very easy to explain. Times have been good and EBITDA is fat, and they will get the most money if they sell it now.

So it's designed to strip the financial bullshit out of the calculation of how much value your business adds.

Earnings Before Income Taxes, Depreication and Amortization. Basically before "phantom or non cash deductions again like dep and amort..thats not cash deductions....just paper stuff.

The last fews years I know in our industry ie construction they have allowed 100% depreciate write off year one for certain equipment assets classifications...so YES is WAAAAY FAT to reducing that bottom line!!!!! so you dont pay any tax.......or reduce tax liability......
